Terms of Use – AI Loop Technologies

The following Terms and Conditions (“Terms”) apply to all development, design, AI, data, marketing, consulting, and related services provided by AI Loop Technologies, a venture of Softnix Innovations Private Limited (“AI Loop,” “we,” “us,” or “our”), to the client (“Client,” “you,” or “your”).

By purchasing, accessing, or using our services, you confirm that you have read, understood, and agreed to these Terms.

1. Focus Areas of Our Services

AI Loop Technologies provides services in the following areas:

• Artificial Intelligence & Machine Learning
• AI Avatars & Conversational AI
• Web & Mobile Application Development
• Cloud & DevOps Solutions
• Data Analytics & Automation
• Digital Marketing & SEO
• Hosting & Infrastructure Consulting

2. Acceptance of Terms

Formal acceptance or signature is not required for these Terms to be enforceable. Acceptance of a proposal, quotation, invoice, or initiation of services constitutes full acceptance of these Terms.

3. Engagement Models

AI Loop Technologies operates under the following engagement models:

• Dedicated Resource Model – Long-term engagement for mid to large projects
• Fixed Price Model – Clearly defined scope, timeline, and cost
• Time & Material Model – Billing based on actual effort and resources used
• Bucket Model – Prepaid hourly bundles for small or evolving tasks

4. Quality of Service

We strive to deliver services of the highest professional standard within agreed timelines and scope. While we aim to exceed expectations, outcomes depend on multiple external and client-controlled factors.

6. Client Responsibilities

To ensure successful delivery, the Client agrees to:

• Provide clear and accurate requirements
• Share timely feedback and approvals
• Raise concerns promptly for resolution
• Attend scheduled demos and reviews
• Inform us of any planned unavailability

Delays caused by the Client may result in revised timelines or costs.

7. What We Will Not Do

AI Loop Technologies will not:

• Breach of project confidentiality
• Work on live servers without explicit authorization (except SEO/marketing tasks)
• Retain or generate live production data without consent
• Tolerate abusive or unethical conduct toward team members

8. Invoicing & Payments

Payment of any advance or invoice constitutes acceptance of these Terms.

• Rates are calculated as per the agreed contract
• Weekly: 8 hours/day, 5 days/week
• Daily: 8 hours/day
• Bucket hours must be used within the agreed validity period
• Invoices are payable before work commencement

Non-payment may result in project suspension and removal of files from our systems.

All fees are exclusive of applicable taxes unless stated otherwise.

9. Limitation of Liability

Neither party shall be liable for indirect, incidental, special, or consequential damages, including loss of profits, business, or revenue, except where caused by proven negligence or willful misconduct.

10. Disclaimer of Warranties

AI Loop Technologies does not guarantee specific business results such as increased revenue, traffic, conversions, or brand recognition. Services are delivered as per agreed specifications only.

11. Design & Development Credit

Unless otherwise agreed, AI Loop Technologies may display a small textual or graphical credit on delivered digital assets and include the project in its portfolio.

12. Use of Online Project Management Tools

Temporary access to AI Loop’s project management platforms may be provided.

• Access may be modified or withdrawn at any time
• Login credentials must be kept confidential
• We do not guarantee uninterrupted or virus-free access
• Clients are responsible for securing their systems

Misuse or unauthorized access attempts may result in immediate suspension.

13. Intellectual Property Rights

Each party retains ownership of its pre-existing intellectual property. Intellectual property created during the engagement shall be governed by the applicable agreement or statement of work.

14. Problem Resolution

In case of dissatisfaction, concerns must be raised with:

• Assigned Developer or Specialist
• Project Manager
• Accounts Team (for billing issues)

We aim for an amicable and professional resolution.

15. Non-Derogatory Conduct

Clients agree not to make defamatory or damaging public statements about AI Loop Technologies. Concerns must be addressed through official communication channels.

16. Non-Compete & Non-Solicitation

During the engagement and for its duration, the Client shall not directly or indirectly solicit or hire AI Loop employees or contractors.

17. Entire Agreement

These Terms constitute the complete agreement between the parties and supersede all prior oral or written agreements or representations.

18. Copyright & Ownership

All content, materials, and deliverables (excluding third-party assets) are protected under applicable copyright laws. Unauthorized use is strictly prohibited.

19. Refund Policy

Refunds are considered only in exceptional circumstances and are subject to strict evaluation.

Refund Eligibility (All Conditions Must Be Met):

• Work has not commenced
• The issue is beyond rectification
• Payment terms have not been violated
• No misuse of shared information
• Valid documentation submitted
• No chargeback or payment gateway dispute raised

Refund decisions are final and binding.

Refund Processing:

• Verification and approval
• Confidentiality confirmation and data destruction
• Processing time: 7–10 business days
• Currency conversion or bank charges are borne by the Client

20. GDPR Compliance (EEA & UK Users)

AI Loop Technologies complies with the General Data Protection Regulation (GDPR) for users located in the European Economic Area (EEA) and the United Kingdom.

Data Processing:

Personal data is processed only for legitimate business purposes, contractual obligations, or with user consent.

Your GDPR Rights:

You have the right to:

• Access your personal data
• Rectify inaccuracies
• Request deletion (“Right to be Forgotten”)
• Restrict or object to processing
• Request data portability
• Withdraw consent at any time

These Terms shall be governed by and construed in accordance with the laws of India.

AI Loop Technologies reserves the right to modify these Terms at any time. Updated versions will be published on our website, and continued use of services constitutes acceptance.
